Terms of Service

1. Who We Are

BAM provides websites, CRM setup, automation, missed-call text-back, lead follow-up systems, local SEO, and related marketing and operational systems for trade and service businesses.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent that you meet these requirements and, if acting on behalf of a business, that you have authority to bind that business to these Terms.

3. Services and Engagements

Specific services, deliverables, pricing, and timelines are governed by the applicable order form, proposal, or agreement between BAM and the client ("Engagement"). In the event of a conflict between these Terms and a signed Engagement, the Engagement controls for the matters it specifically addresses.

• →Setup fees are one-time charges for initial build work (website development, CRM configuration, automation setup) and are non-refundable once work has commenced, except as otherwise agreed in writing.
• →Monthly fees cover ongoing access to software, hosting, automation, and support, and are billed in advance on a recurring basis.
• →À la carte services (consulting, audits, one-time builds) are billed as described at the time of purchase.

4. Payment Terms

• →Fees are due as specified in your Engagement or at checkout.
• →Late payments may result in suspension of Services until the account is brought current.
• →All fees are exclusive of applicable taxes unless stated otherwise.
• →Prices are subject to change with reasonable notice for future billing periods; changes will not apply retroactively to amounts already paid.

5. Cancellation and Termination

• →Either party may terminate ongoing Services in accordance with the terms specified in the applicable Engagement.
• →Upon termination, BAM will reasonably cooperate to transition or export client data, subject to any outstanding fees owed.
• →BAM reserves the right to suspend or terminate access to the Services for non-payment, misuse, or violation of these Terms.

6. Client Responsibilities

You agree to:

• →Provide accurate, current information necessary to deliver the Services
• →Obtain any necessary consents before providing BAM with customer or lead contact information for use in automated communications (calls, texts, emails)
• →Comply with all applicable laws, including telemarketing, SMS (TCPA), and email marketing (CAN-SPAM) regulations, in your own use of the Services and communications with your customers
• →Not use the Services for any unlawful, fraudulent, or harmful purpose

You are solely responsible for ensuring that any contact information you upload or connect to the Services was collected with appropriate consent for the communications you intend to send.

7. Intellectual Property

• →BAM's materials: All content, software, templates, designs, and materials provided by BAM, excluding client-specific deliverables covered under an Engagement, remain the property of BAM.
• →Client deliverables: Ownership of custom deliverables (such as a client's website) is governed by the applicable Engagement. Unless otherwise stated in writing, clients own the final deliverables built specifically for them upon full payment, while BAM retains ownership of underlying tools, templates, and proprietary systems used to build them.
• →Client content: You retain ownership of content, logos, and materials you provide to us. You grant BAM a license to use that content as necessary to deliver the Services.

8. Third-Party Services

The Services may integrate with or rely on third-party platforms (such as CRM software, hosting providers, payment processors, and advertising platforms). BAM is not responsible for the availability, performance, or practices of third-party platforms, which are governed by their own terms and privacy policies.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BAM DOES NOT GUARANTEE SPECIFIC BUSINESS RESULTS, LEAD VOLUME, RANKINGS, OR REVENUE OUTCOMES FROM USE OF THE SERVICES. RESULTS REFERENCED IN CASE STUDIES OR MARKETING MATERIALS REFLECT SPECIFIC BUSINESSES AND MAY NOT BE TYPICAL.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SITE OR SERVICES. BAM'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BAM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless BAM, its owners, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law, including consent requirements for customer communications.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Santa Rosa County, Florida, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date reflects the most recent changes. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
